Company Secretary

IBA Level 7 ($157,690 - $184,761)

Location:  Sydney, Brisbane, Canberrra, Melbourne, Adelaide, Perth or Darwin

Role:
The Company Secretary role is responsible for ensuring IBA adheres to the highest standards of corporate governance. This role involves overseeing compliance with regulatory requirements, internal policies and ensuring that the board of directors and board subcommittees operate effectively and efficiently to support the achievement IBA’s strategic objectives. The role reports to the General Counsel.

Duties:
Duties include, but are not limited to:

  • Perform the role of Company Secretary for Board and Sub-Committee meetings, including:
    • organising and coordinating Board and Sub-Committee meetings
    • preparing minutes and resolutions
    • coordinating, reviewing and providing feedback to staff on papers to ensure quality reporting to the Board and Sub-Committees
    • preparing and updating work plans
  • Lead the development, implementation, and management of corporate governance initiatives to strengthen governance processes.
  • Oversee the provision of secretariat services to the Board and committees, including minute taking and maintenance of registers.
  • Ensure Board and Sub-Committee meetings comply with relevant statutory and regulatory requirements and obligations.
  • Assist the General Counsel and CEO with the induction of directors and Sub-Committee members.
  • Advising directors and officers on director duties, conflict matters, corporate governance best practice, the Public Governance, Performance and Accountability Act 2013, the Board Governance Charter, committee charters and other regulatory and statutory requirements applicable to corporate Commonwealth entities.
  • Prepare and present reports to the Board and Sub-Committees.
  • Develop, review and maintain IBA’s governance framework, policies, and procedures.
  • Lead board and Sub-Committee evaluations and self-assessments.
  • Provide training and upskilling to staff in best governance practice (e.g. writing good papers, understanding the governance framework).
  • Other duties as required.

Required capabilities
These are essential unless otherwise indicated.

Knowledge and experience

  • An understanding of the issues affecting Aboriginal and Torres Strait Islander people and an ability to communicate effectively and sensitively with Aboriginal and Torres Strait Islander people.
  • Extensive experience in corporate or public sector corporate governance, risk management, and compliance, preferably including experience in a governance leadership role.
  • A strong understanding of the public sector governance framework and regulatory environment.
  • Demonstrated ability to lead change and drive continuous improvement in governance frameworks.
  • Familiarity with the corporate governance best practice.
  • Experience engaging with, presenting to, and writing reports for, Boards.

Skills and attributes

  • Proficiency with company secretary tools and resources, including Diligent.
  • Working effectively and independently in a high-volume environment and ability to meet deadlines.
  • An ability to manage a variety of stakeholders and provide practical, sound governance advice.
  • Highly-developed oral and written communication skills.
  • Personal drive and integrity, including sound judgement, confidentiality and discretion in dealing with sensitive issues.

Prerequisite requirements

  • Professional qualifications in law, business, accounting and/or those offered by the Governance Institute of Australia and Australian Institute of Company Directors.
  • Capacity to travel for meetings.
